Terms of Service

Effective May 1, 2026

These Terms of Service ("Terms") govern your use of the Magellan application ("Magellan," "the App," "Service") provided by Michael Henry, doing business as Happy Path Software ("Happy Path Software," "we," "us," "our"). By downloading, installing, or using Magellan, you agree to these Terms. If you do not agree, do not use Magellan.

1. Eligibility — adult use only

Magellan is designed and intended for use by adults aged 18 years or older. By using Magellan, you represent and warrant that you are at least 18 years of age. Magellan is not directed to, intended for, or designed for use by anyone under 18.

If we obtain actual knowledge that a user is under 18, we will terminate that account and may delete associated data. If you are a parent or guardian and believe a minor has accessed Magellan, contact us at info@happypath.fit.

2. The Service

Magellan is a personal coaching application combining inbox capture, an execution layer (Apple Calendar, Reminders, and Goals integration), and adaptive AI coaching powered by third-party AI models. Magellan reads from and writes to your Apple Calendar, Reminders, and Apple Health (where you grant permission), and stores your conversations and coaching context in your private CloudKit container.

Magellan's coaching is conversational and reflective. It is not a substitute for professional advice and should not be relied upon as such. See Section 5 for important disclaimers.

3. Subscription and billing

Magellan is offered as a subscription service via Apple's App Store. Pricing, free trial, and gating are as follows:

• Free sessions: Your first four sessions are free.
• Free trial: A 3-day free trial is available with new monthly or annual subscriptions.
• Subscription pricing: $19.99 per month or $199.99 per year (a 17% discount). Prices are subject to change with notice.
• Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before renewal.
• Cancellation and refunds: You can manage or cancel your subscription anytime via Settings → Apple ID → Subscriptions on your device. Refunds are handled by Apple under their refund policy; Happy Path Software does not process refunds directly.

4. Privacy

Your use of Magellan is also governed by our Privacy Policy, which describes what data we collect, how we use it, and your rights. By using Magellan, you consent to the data practices described in the Privacy Policy.

5. Important disclaimers

Magellan is not a substitute for professional advice. Magellan provides coaching, reflection, and organizational support. It does not provide:

• Medical, mental health, or psychological advice or treatment
• Legal advice
• Financial, investment, or tax advice
• Crisis intervention or emergency services

If you are experiencing a medical or mental health emergency, contact your local emergency services or a qualified professional. In the United States, the Suicide and Crisis Lifeline is available by calling or texting 988.

AI-generated content. Magellan uses AI models that may produce inaccurate, incomplete, or unexpected outputs. You are responsible for evaluating any guidance Magellan provides and for the decisions you make based on it. Happy Path Software does not warrant the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

6. Acceptable use

You agree not to:

• Use Magellan to violate any law or regulation
• Attempt to gain unauthorized access to Magellan's systems or other users' data
• Reverse-engineer, decompile, or attempt to extract the source code of the App, except as permitted by law
• Use Magellan to harass, threaten, or harm others
• Submit content you do not have the right to submit, including content that infringes intellectual property rights
• Use automated systems to interact with Magellan in ways not intended by the App
• Resell, redistribute, or commercially exploit the Service

7. User content

You retain ownership of the content you create in Magellan (your captures, goals, conversations, configuration). You grant Happy Path Software a limited license to process this content as necessary to provide the Service — including transmitting your conversation content to AI providers to generate responses.

Happy Path Software does not claim ownership of your content and does not use your content to train AI models.

8. Intellectual property

Magellan, its branding, design, and underlying software are the property of Happy Path Software and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to Happy Path Software's intellectual property except the limited license to use the App as intended.

9. Termination

You may stop using Magellan at any time. To delete your account and associated data, use the "Reset App Data" function in the App or contact info@happypath.fit.

Happy Path Software may suspend or terminate your access to Magellan if you violate these Terms, if we obtain actual knowledge that you are under 18, if required by law, or if we discontinue the Service. We will make reasonable efforts to notify you in advance of termination unless doing so is impractical or prohibited.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED CONTENT. HAPPY PATH SOFTWARE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPY PATH SOFTWARE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF MAGELLAN, EVEN IF HAPPY PATH SOFTWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HAPPY PATH SOFTWARE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID HAPPY PATH SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitations on certain warranties or damages, so some of these limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Happy Path Software and its affiliates from any claim, demand, or expense (including reasonable attorneys' fees) arising out of your use of Magellan, your violation of these Terms, or your violation of the rights of any third party.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the App or by updating the "Effective" date at the top of this page. Continued use of Magellan after changes take effect constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Collin County, Texas, and you consent to the personal jurisdiction of those courts.

Nothing in this section limits your rights under applicable consumer protection law.

15. Apple App Store terms

If you obtained Magellan through the Apple App Store, your use is also subject to Apple's Licensed Application End User License Agreement. Apple is not a party to these Terms and is not responsible for Magellan or its content. In the event of any conflict between these Terms and Apple's terms with respect to App Store distribution, Apple's terms control to the minimum extent necessary to resolve the conflict.
